Kowazon Customer App Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your use of the Kowazon mobile application ("App") and the services provided through it (the “Services”). By using the App, you agree to be bound by these Terms. Please read them carefully.

1. Services

  • Kowazon provides a platform for you to order goods and services from local vendors ("Vendors").
  • We facilitate transactions but are not directly involved in the sale of goods or provision of services. That responsibility lies with the Vendors.
  • We strive for fast and reliable delivery, but delivery times may vary based on factors like vendor availability, distance, and traffic.

2. Eligibility

  • You must be at least 13 years old to use the App.
  • By creating an account, you represent that you meet the age requirement and provide accurate information.

3. User Account

  • You will create an account with your phone number, email, or social media.
  • You are responsible for safeguarding your account information and all activities occurring under your account.

4. Ordering

  • You can browse Vendors, select items, and place orders through the App.
  • Prices and availability are determined by the Sellers/Vendors/Partners.
  • You will choose your payment method (Kowazon Wallet, Online, or Cash on Delivery).
  • You'll have the option to track your order status in real-time.

5. Payment

  • Payment processing is handled by Kowazon or third-party providers like Paystack.
  • We take reasonable measures to secure your payment information.
  • Payment disputes should first be addressed with the Vendor. Kowazon will assist in resolving issues if needed.

6. Delivery

  • Delivery fees may apply and will be clearly displayed during checkout.
  • Kowazon will arrange delivery or pickup based on your selection.
  • We are not liable for delays or issues caused by the Vendor or factors beyond our control (e.g., traffic, weather etc).

7. Refunds and Cancellations

  • Refund and cancellation policies are set by individual Vendors.
  • Please refer to the Vendor's information on the App or contact them directly.
  • Kowazon may facilitate refunds in certain cases at our discretion.

8. Referrals

  • You may be eligible for referral rewards. Specific terms will be outlined in the App.

9. Intellectual Property

  • The App and its content are protected by intellectual property rights.
  • You may not use Kowazon's name, logo, or other branding without our permission.

10. User Conduct

  • You agree to use the App responsibly and lawfully.
  • Prohibited activities include:
    • Providing false or misleading information
    • Interfering with the App's operation
    • Harassing other users  Seller/Vendors/Partners or Drivers
    • Engaging in fraudulent or illegal activities

11. Disclaimer of Warranties

  • WE PROVIDE THE APP AND SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND.
  • WE DO NOT GUARANTEE THE VENDORS' QUALITY OF GOODS, SERVICES, OR FULFILLMENT OF ORDERS.

12. Limitation of Liability

  • KOWAZON WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE APP OR SERVICES.
  • OUR MAXIMUM LIABILITY IS LIMITED TO THE FEES YOU PAID US IN THE 7 WORKING DAYS PRECEDING THE CLAIM.

13. Indemnification

  • You agree to indemnify Kowazon against claims arising from your breach of these Terms or misuse of the App.

14. Changes to Terms

  • We may update these Terms from time to time. You'll be notified of any significant changes.

15. Governing Law and Dispute Resolution

  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

  • Dispute Resolution:

    • Amicable Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith negotiations between the parties.

    • Arbitration: If the parties are unable to resolve the dispute amicably within thirty (30) days of the initial notice of the dispute, the dispute shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004. The arbitration shall be conducted in Nigeria by a sole arbitrator appointed in accordance with the Act. The language of the arbitration shall be English.

Kowazon Sellers and Vendors App Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your use of the Kowazon Sellers and Vendors mobile application ("App") and your participation as a seller or vendor ("Vendor") on the Kowazon platform. By using the App and listing your products or services, you agree to be bound by these Terms. Please read them carefully.

1. Eligibility

  • You must be a registered business or individual with a valid business license or appropriate authorization to sell your products or services in your jurisdiction.
  • You represent and warrant that you have the right and authority to sell the products or services you list on Kowazon.

2. Vendor Account

  • You will create a Vendor account by providing accurate and complete information, including your business name, contact details, and payment information.
  • You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3. Product Listings

  • You are responsible for creating accurate, complete, and non-misleading product or service listings on the App.
  • Listings should include clear descriptions, pricing, high-quality images, and relevant product specifications.
  • You may not list prohibited items, including but not limited to:
    • Illegal or harmful products
    • Counterfeit or infringing goods
    • Offensive or discriminatory materials

4. Orders and Fulfillment

  • You will receive order notifications through the App.
  • You are responsible for accepting or rejecting orders in a timely manner.
  • You are responsible for timely and accurate order fulfillment, including packaging and shipping or arranging pickup, as per the customer's selection.
  • You must adhere to Kowazon's delivery guidelines and timeframes.

5. Pricing and Fees

  • You are responsible for setting your own prices for your products or services.
  • Kowazon will charge a commission fee on each successful transaction. The current fee structure will be clearly outlined in the App and/or your Vendor agreement.
  • Additional fees may apply for certain services or features, as outlined by Kowazon.

6. Payment Processing

  • Kowazon will facilitate payment processing from customers.
  • Payments will be disbursed to your designated bank account according to the agreed payment schedule.
  • You are responsible for any applicable taxes or fees related to your sales.

7. Returns and Refunds

  • You must establish and clearly communicate your return and refund policy to customers.
  • You are responsible for handling returns and refunds in accordance with your policy and applicable consumer protection laws.
  • Kowazon may facilitate dispute resolution between you and customers in certain cases.

8. Customer Communication

  • You are responsible for prompt and professional communication with customers regarding their orders.
  • You may utilize Kowazon's in-app messaging features for customer communication.
  • You must not engage in any communication that is harassing, discriminatory, or violates Kowazon's user conduct policies.

9. Intellectual Property

  • You retain ownership of your intellectual property rights in your product listings and business information.
  • You grant Kowazon a license to use your content for promotional purposes.
  • You may not infringe upon the intellectual property rights of others or of Kowazon.

10. User Conduct

  • You agree to use the App in a lawful and ethical manner.
  • Prohibited activities include:
    • Providing false or misleading information
    • Manipulating prices or order processing
    • Engaging in fraudulent or deceptive activities
    • Impersonating another person or business

11. Disclaimer of Warranties

  • WE PROVIDE THE APP AND SERVICES ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES.
  • WE DO NOT GUARANTEE SALES VOLUME OR CUSTOMER INTERACTIONS.

12. Limitation of Liability

  • KOWAZON WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE APP OR SERVICES.
  • OUR MAXIMUM LIABILITY IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

  • You agree to indemnify Kowazon against any claims arising from your breach of these Terms, the sale of your products or services, or any violations of law.

14. Termination

  • Kowazon may terminate your Vendor account at any time for cause, including but not limited to violations of these Terms, customer complaints, or inactivity.
  • You may also terminate your account with appropriate notice.

15. Changes to Terms

  • We may update these Terms from time to time. You'll be notified of significant changes.

16. Governing Law and Dispute Resolution

  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

  • Dispute Resolution:

    • Amicable Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith negotiations between the parties.

Kowazon Individual Drivers and Logistics Companies App Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your use of the Kowazon Individual Drivers and Logistics Companies mobile application ("App") and your participation as a delivery driver or logistics company ("Delivery Partner") on the Kowazon platform. By using the App, you agree to be bound by these Terms. Please read them carefully.

1. Eligibility

  • Individual Drivers:
    • Must be at least 16 years old.
    • Must have a smartphone (required OS: Android 6.0 and up).
    • Must have SSCE certificate above.
    • Must have a valid means of identification (Passport, Driver License, NIN Number or Voter's Card)
    • Must have a guarantor.
    • Your vehicle must be in good working condition and meet Kowazon's standards.
    • You must pass a background check.
  • Logistics Companies:
    • Must be a registered business with valid authorization to operate logistics services.
    • Must manage a fleet of vehicles and drivers that meet Kowazon's standards.
    • Responsible for ensuring your drivers comply with these Terms.

2. Partner Account

  • You will create a Delivery Partner/Star account providing accurate information, including your name/company name, contact details, vehicle information, and relevant documentation.
  • You are responsible for maintaining the confidentiality of your account information and all activities under your account.

3. Delivery Assignments

  • You will receive delivery requests through the App.
  • You have the right to accept or decline delivery requests based on your availability and preferences.
  • Once you accept a request, you are responsible for timely pickup and delivery of orders in accordance with Kowazon's guidelines.

4. Vehicle and Equipment

  • You are responsible for the maintenance and safe operation of your vehicle.
  • You must adhere to traffic laws and safe driving practices.
  • Logistics Companies are responsible for ensuring their entire fleet and drivers meet these requirements.

5. Fees and Payment

  • Kowazon will pay Delivery Partners/Stars per successful delivery. The payment structure will be clearly outlined in the App and/or your Partner agreement.
  • Payments will be disbursed to your designated bank account on the agreed payment schedule.

6. Customer Interactions

  • You must maintain professional and courteous interactions with customers.
  • You may not engage in any behavior that is harassing, discriminatory, or unsafe.

7. Insurance

  • You must maintain appropriate insurance coverage for your vehicle as required by law and by Kowazon's insurance policies.
  • Logistics Companies must maintain comprehensive insurance coverage for their fleet and drivers.

8. Independent Contractor Status

  • Delivery Partners/Stars are independent contractors and not employees of Kowazon.
  • You are responsible for your own taxes, expenses, and any required business licenses.

9. Intellectual Property

  • You may not use Kowazon's name, logo, or branding without our permission.

10. User Conduct

  • You agree to use the App responsibly and lawfully. Prohibited activities include:
    • Providing false or misleading information.
    • Interfering with the App's operation.
    • Transporting prohibited or dangerous items.
    • Engaging in fraudulent or illegal activities.

11. Disclaimer of Warranties

  • WE PROVIDE THE APP AND SERVICES "AS IS" WITHOUT WARRANTIES.
  • WE DO NOT GUARANTEE A MINIMUM NUMBER OF DELIVERY REQUESTS OR EARNINGS.

12. Limitation of Liability

  • KOWAZON WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE APP OR SERVICES.
  • OUR MAXIMUM LIABILITY IS LIMITED TO THE FEES YOU EARNED IN THE 1 MONTHS PRECEDING THE CLAIM.

13. Indemnification

  • You agree to indemnify Kowazon against claims arising from your breach of these Terms, use of your vehicle, or your actions as a Delivery Partner.

14. Termination

  • Kowazon may terminate your Partner/Star account at any time for cause, including but not limited to violations of these Terms, customer complaints, or unsafe practices.
  • You may also terminate your account with appropriate notice.
